Generalized RSBA (GRSBA) License Agreement

This Generalized RSBA (GRSBA) License Agreement (“Agreement”) is made between [Your Company Name] (“Licensor”) and the individual or entity identified below (“Licensee”).
1. Definitions
1.1 “GRSBA”: Generalized RSBA algorithm and all related software, documentation, and materials.
1.2 “User”: An individual using the GRSBA software under a personal license.
1.3 “Company”: An entity using the GRSBA software under a corporate license.
2. License Grant
2.1 Individual License: Licensor grants to Licensee, subject to the terms and conditions of this Agreement, a non-exclusive, non-transferable license to use the GRSBA software for personal, non-commercial purposes.
2.2 Corporate License: Licensor grants to Licensee, subject to the terms and conditions of this Agreement, a non-exclusive, non-transferable license to use the GRSBA software for internal business purposes.
3. Fees and Payment
3.1 Individual License Fees: Licensee agrees to pay Licensor an annual fee of $100 USD for a personal license.
3.2 Corporate License Fees: Licensee agrees to pay Licensor an annual fee of $10,000 USD for a corporate license, which allows use by up to 50 employees. For each additional employee, the Licensee will pay an additional fee of $200 USD per year.
4. Restrictions
4.1 Licensee shall not:
- Modify, reverse engineer, decompile, or disassemble the GRSBA software.
- Distribute, sublicense, or transfer the GRSBA software to any third party.
- Use the GRSBA software for any unlawful purpose.
5. Term and Termination
5.1 Term: This Agreement is effective upon the Effective Date and shall continue for one year unless terminated earlier in accordance with this Agreement.
5.2 Termination: Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement.
5.3 Effect of Termination: Upon termination, Licensee must cease all use of the GRSBA software and destroy all copies in Licensee’s possession.
6. Ownership
6.1 The GRSBA software and all intellectual property rights therein are owned by Licensor. Licensee acknowledges that no title or ownership in the GRSBA software is transferred under this Agreement.
7. Disclaimer of Warranties
7.1 The GRSBA software is provided “AS IS” without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement.
8. Limitation of Liability
8.1 In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the use of the GRSBA software.
9. General Provisions
9.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
9.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
9.3 Amendments: This Agreement may be amended only by a written document signed by both parties.
9.4 Severability: If any provision of this Agreement is held to be unenforceable, the remaining provisions shall continue in full force and effect.
9.5 Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term.
